BYLAWS OF THE AMERICAN RED CROSS CLUB OF
[SCHOOL NAME]
ARTICLE I. Name
The name of the organization shall be The American Red Cross Club of [School Name] (hereinafter “Club”).
ARTICLE II. Authority
The American Red Cross Club is under the auspices and guidance of the Northern Mariana Islands Chapter of the American Red Cross (hereinafter “Chapter”) and is considered a branch of that unit rather than an independent Red Cross entity.
ARTICLE III. Purpose
The purpose of this Club shall to be to provide Red Cross services to the local community and the people at [School Name], with Club members delivering these services in accordance with the American Red Cross Code of Conduct.
ARTICLE IV. Membership
4.1 Members
The Club will consist of currently enrolled students at [School Name] who meet the membership requirements enumerated below.
4.2 Membership Requirements and Duties
The responsibilities of all members shall include:
a. Attendance at a minimum of fifty percent of the Club’s monthly general meetings having occurred after the member joined the club.
b. Active participation in the preparation for at least one of the Chapter’s major fundraisers (currently the annual walk-a-thon and Club 200) each year.
c. Successful completion of at least one Red Cross training program offered to Club members or the community each year.
d. Active participation in at least two service projects authorized by the Chapter and provided by the Club or the Chapter for the benefit of the community each year.
e. Execution of a Volunteer Application and Code of Conduct.
4.3 Voting
Each member is entitled to one vote. Voting by proxy shall not be permitted.
ARTICLE V. Officers
The officers of the Club shall be the President, Vice President, Secretary, and Treasurer and will form the Executive Board. The Executive Board shall meet to finalize agenda items, prepare reports, and collaborate on the business of the Club.
These officers shall perform the duties prescribed by these Bylaws and by the parliamentary authority adopted by the Club.
5.1 Qualifications
All officers must be active members of the Club at the time of their election and, with the exception of the officers elected for the first academic year of any school’s involvement in the Red Cross Club program, must have been active members of a Club for at least six consecutive calendar months immediately prior to election.
5.2 Election
Officers shall be elected for the following academic year by a sealed ballot vote, during the Club’s April general meeting. The candidate receiving the largest number of votes for each Executive Board position shall be the winning candidate. No individual may concurrently fill more than one Executive Board position. In the event of a tie vote, there shall be an immediate re-vote among the tied candidates. If the re-vote results in a second tie, the current Executive Board, in consultation with the Sponsor, shall choose the winning candidate.
5.3 Term of Office
Each officer’s term of office shall begin on the day immediately following the last day of the academic year of [School Name] and shall continue until the last day of the following academic year.
5.4 Removal from Office
Any officer not acting in accordance with the American Red Cross Code of Conduct shall be removed from office. Any officer who does not meet or fulfill the standards or duties established for the office he/she holds may be removed from office by a two-thirds majority vote of a quorum of all active Club members.
5.5 Duties and Responsibilities
The following are general duties and responsibilities of the Club’s officers. These duties and responsibilities shall be more fully defined and reviewed annually in consultation with the NMI Chapter Club Council (hereinafter “Council”) and the Chapter Board.
a. The President shall preside at all meetings of the Club and facilitate all meetings of the Executive Board, represent the club to [School Name] and others, and shall serve as the Club’s representative to the Council.
b. The Vice-President shall assume the duties of the President in his/her absence and assist the president with the management of the Club.
c. The Secretary shall keep all records of official business of the Club.
d. The Treasurer shall keep all records of financial transactions and financial affairs of the Club.
ARTICLE VI. Sponsor
6.1 Eligibility
The Club Sponsor shall be an administrator or faculty member of [School Name], or an active member of the [School Name’s] Parent-Teacher Association, and shall be agreed to by the principal of [School Name]. The Club Sponsor shall become a volunteer member of the Chapter, shall execute and adhere to the American Red Cross Code of Conduct, shall be subject to confirmation by the Chapter Board, and shall not have voting rights within the Club.
6.2 Term
The Club Sponsor shall serve a minimum term of one full calendar year, running concurrently with the term of the Executive Board. There is no term limit.
6.3 Duties
The Club Sponsor must attend the regularly-scheduled Executive Board meeting and general meeting each month, and may attend any other meetings if available.
ARTICLE VII. Meetings
7.1 General Meetings
General Meetings shall be held once a month during the academic year.
a. Notice
Notice of all meetings of the Club shall be given by conspicuous posting of notice and agenda at designated areas of [Name of School], and, in addition to posted notice, may be given by email or telephone. Notice must be given at least seven days prior to each meeting.
7.2 Executive Board Meetings
Executive Board meetings shall be held once a month, on a date prior to that of each general meeting, during the academic year and once a month during the remainder of the calendar year.
7.3 Special Meetings
The President and Vice-President each shall have the authority to call special or emergency meetings of the Club members. Special meetings shall also be called upon written request of one-third of the active membership.
ARTICLE VIII. Quorum
The presence, in person, of at least fifty percent of the members entitled to vote at any meeting shall constitute a quorum. The process for general decision-making shall be a simple majority of the voting members of a quorum unless otherwise specified in these Bylaws.
ARTICLE IX. Parliamentary Authority
The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern this Club in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and any special rules of order the Club may adopt.
ARTICLE X. Amendments
Amendments to these Bylaws not inconsistent with the American Red Cross Mission Statement, the Chapter Bylaws, or any other relevant guidelines, rules, or regulations may be proposed and adopted by the Club no more than once annually.
10.1 Proposal
Any active member may propose an amendment to the Club’s Bylaws in order to ensure that the Club is administered properly. Any proposed amendment to these Bylaws shall be submitted in writing to the Club Secretary no later than during the general meeting for the month of February.
10.2 Voting
Proposed amendments to the Bylaws shall be voted on by open vote at the general meeting for the month of April. Prior to voting, proposals shall be made available in writing, and read aloud at that meeting by the Secretary.
10.3 Adoption
a. A two-thirds majority vote of a quorum of all active Club members is required to adopt an amendment.
b. Final adoption of an amendment is subject to approval by a simple majority of the Chapter Board of Directors.
